By purchasing, downloading, installing, or using Keepset ("the Software"), you ("the Licensee") agree to be bound by these Terms of Service. If you do not agree, do not use the Software.
Blah Monsters LLC grants you a non-exclusive, non-transferable, revocable license to use Keepset on the number of devices permitted by your purchased tier:
You may not reverse engineer, redistribute, sublicense, rent, or lease the Software. The Software is licensed, not sold. Blah Monsters LLC retains all intellectual property rights. You own all data you enter into the Software.
Keepset is offered as an annual subscription. Your subscription automatically renews each year unless you cancel before the renewal date. We offer a 30-day money-back guarantee from the date of initial purchase.
All patient records, clinical notes, billing data, documents, and other information you enter into Keepset belong to you. We do not claim any ownership or rights over your data. We do not access, view, store, or transmit your Protected Health Information under normal operation.
You are responsible for: enabling FileVault, maintaining backups, securing the recovery phrase, training staff on HIPAA, and physical security of your hardware.
Keepset implements technical safeguards including encryption at rest, access controls, audit logging, and automatic session locking. A Business Associate Agreement (BAA) is provided as part of your license.
HIPAA compliance is a shared responsibility. Keepset provides the technical safeguards; you are responsible for administrative safeguards (policies, training, risk assessments) and physical safeguards (facility access, workstation security).
Your subscription includes one year of software updates and email support. After the maintenance period expires, the Software continues to function but you will not receive new updates. Renewing restores access.

The software is provided "as is" without warranties of any kind, express or implied. We do not warrant that the software will be uninterrupted, error-free, or completely secure. The software is not a substitute for professional clinical judgment.
Our total aggregate liability shall not exceed the amount you paid for the software in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
You may stop using the Software at any time. We may terminate your license if you materially breach these Terms. Upon termination, you retain full access to all data on your hardware and may export before uninstalling.
Governing law: State of New York.
Dispute resolution: Binding arbitration in New York, NY, per the American Arbitration Association rules.
These Terms, together with the Privacy Policy and BAA, constitute the entire agreement.
